Poison pills are no shareholder panacea
"All in all, poison pills can be useful tools for board members to protect the interests of shareholders, mainly in times when the economy is slowing rapidly and market conditions are adverse. However, we recommend that shareholders always be skeptical of such programs, because they could be used to masquerade management's desire to hold on to their jobs or as a cloaking device for administrative missteps."
